Preamp β Terms of Service

1. Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of the Preamp website at preamp.audio and any related services, data, and features we make available (together, the "Service"). By accessing or using the Service β including by entering an access code during our private preview β you agree to these Terms. If you do not agree, do not use the Service.
2. What Preamp is
Preamp is an artist-reconnaissance tool. It surfaces early signals about rising musical artists by aggregating and organizing information from public and third-party sources, and it records dated observations ("calls," "receipts," and similar) about those signals.
Preamp is an informational and research tool only. It is not, and nothing in the Service constitutes: investment, financial, business, or legal advice; a recommendation to sign, fund, or transact with any artist; or a guarantee of any outcome. You are solely responsible for any decision you make using the Service.
3. The Preamp iPhone app
These Terms also cover the Preamp iPhone app (the "App"), which we distribute free of charge through the Apple App Store.
The App is deliberately simpler than the website. It has no account, no sign-up, and no purchase of any kind: you do not create a profile, you do not give us an email address, and there is nothing to buy inside it. What the App remembers β the acts you star, a tally of your taps, and which acts you have already heard β is stored only on your device. What the App collects, and does not collect, is described in the App Privacy Policy at preamp.audio/app-privacy.html, which governs the App in place of our website Privacy Policy.
Apple's standard Licensed Application End User License Agreement also applies to your use of the App. Where that agreement and these Terms genuinely conflict as to the App, Apple's agreement controls. Apple is not a party to these Terms and has no obligation to furnish support for the App.
4. Private preview
The Service is currently offered as a private, invitation-only preview. Access may require an access code and is provided at our discretion. Features may change, break, or be removed, and we may modify, suspend, or discontinue the Service (in whole or in part) at any time without notice or liability. Preview access does not create any ongoing entitlement.
During the preview we may issue guest passes that switch on a paid tier for particular people at no charge β for example through a card we hand out. A guest pass is temporary, personal, not for sale or transfer, and may be withdrawn at any time. Every guest pass ends when the Service leaves preview (or on an earlier date we set), after which the tier is available only as a paid membership. A guest pass is not a promise of continued access, a discount, or a trial that converts to a charge; no payment details are collected for it.
5. Eligibility
Preamp is open to anyone who wants to hear what's rising early β listeners, artists, and industry alike. The App is distributed free through the App Store and is appropriate for the audience described by its App Store age rating; the public parts of the website are likewise open to all.
To create an account or hold a paid membership, you must be at least 18 years old and able to form a binding contract, since those involve an agreement with us and, for paid tiers, a payment. That is the only age restriction in these Terms.
6. Acceptable use
You agree that you will not:
- resell, sublicense, republish, redistribute, or make the Service or its data available to any third party except as expressly permitted;
- scrape, crawl, harvest, or use automated means to extract data from the Service, or attempt to reconstruct our datasets in bulk;
- reverse engineer, decompile, or attempt to derive the source, methods, or underlying data pipelines of the Service;
- use the Service to harass, defame, or unlawfully target any artist or other individual;
- circumvent, disable, or interfere with the access controls, security, or rate limits of the Service;
- use the Service in violation of any applicable law or of the terms of any third-party data source (see Section 9); or
- misrepresent Preamp's data as your own proprietary research when redistributed in violation of these Terms.
7. Nature of the information; no warranty of accuracy
The signals, metrics, dates, and observations in the Service are derived from third-party and public sources and from automated processing. We do not warrant that any information is accurate, complete, current, or fit for any purpose. Streaming counts, follower counts, "verge/breaking" classifications, and dated calls are estimates and interpretations, not statements of fact, and they may be wrong, delayed, or revised. Past observations are not indicative of future results.
8. Intellectual property
As between you and us, we (and our licensors) own the Service, including its design, code, brand, the "Preamp" name and marks, the tagline "signal, before amplification," and our original compilations, classifications, and written analysis. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your own personal or internal business use, subject to these Terms. No other rights are granted.
Underlying facts and third-party data remain the property of their respective sources and owners.
9. Third-party data and services
The Service incorporates or links to data and services from third parties, including Spotify (for artist links, playlists, and optional account connection) and other public music-data and social-platform sources. Your use of any third-party service (for example, connecting a Spotify account to build a playlist) is governed by that third party's own terms and privacy policy, not ours. We are not responsible for third-party services, and we make no warranty regarding them. We may add, change, or remove data sources at any time.
10. Your content
The Service lets you create a watchlist and similar personal lists.
- Signed out, your watchlist is stored locally in your browser and is your responsibility; clearing your browser data removes it.
- Signed in, your watchlist is stored in your account on our systems so it can follow you across devices. You grant us the limited license needed to host, store, back up, and process that content in order to operate the Service. It remains yours; we do not publish it or share it with other users. You can delete items at any time, and you can have your account and its content deleted by emailing privacy@preamp.audio.

11. Disclaimers
THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREAMP AND ITS OWNERS, MEMBERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD 100.
13. Indemnification
You agree to indemnify and hold harmless Preamp and its owners and agents from any claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Service or your breach of these Terms.
14. Changes
We may update these Terms from time to time. If we make material changes, we will update the "Effective date" and, where practical, provide notice. Your continued use of the Service after changes take effect constitutes acceptance.
15. Termination
We may suspend or terminate your access at any time, for any reason, without notice. Sections that by their nature should survive termination (including Sections 6, 7, 10, 11, 12, and 15) will survive.
16. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The exclusive venue for any dispute will be the state and federal courts located in Sacramento County, California, and you consent to their jurisdiction.
